Terms of Service
Plain-English terms for a monthly service, with no tie-in.
- £247 a month. No build fee, no contract, 30 days’ notice to leave.
- You keep your phone number and your domain name. Your Google reviews stay on your Google profile.
- We keep the website and the systems behind it, and take them down when you leave.
- Your customer data is yours: we send you an export when you leave, then delete it from our systems.
1. Who we are and what this covers
These terms are an agreement between MagiLux Media Ltd (“MagiLux”, “we”, “us”), a company registered in England and Wales, and the business that signs up to the MagiLux Growth System (“you”). Our company details are in the footer of this page.
The agreement is made up of these Terms of Service, our Data Processing Terms and the details you give us on your onboarding form. If they ever disagree on how personal data is handled, the Data Processing Terms win.
You agree to the terms by ticking the box on your onboarding form, or by confirming by text or WhatsApp that you want to go ahead. The agreement starts when we switch your system on (“go-live”). You confirm you are signing up for your business, not for personal use.
2. What you get
For one monthly price you get the Growth System, as described on our website when you sign up:
- A website of up to 10 pages, built for phones, with every area you cover named on your site.
- An assistant on your website that answers questions and takes bookings, day and night.
- Missed-call text-back on your own number, and instant replies to website enquiries.
- Online booking with confirmations and reminders, and quote follow-ups.
- Google review requests, a launch push when you go live and printable QR cards. We write replies to your reviews when you send them to us; you post them.
- On-site search engine optimisation, every town you cover named on your site, and your Google Business Profile set up with you.
- Alerts on your phone and your results message on the 1st of each month.
- A monthly strategy call and WhatsApp support seven days a week.
- Hosting, security, your domain, and website changes within 48 hours.
Changes. Everyday changes (prices, hours, wording, photos, services) are included. Bigger jobs, such as a redesign, extra pages beyond the 10, or new features, we will quote for separately and only go ahead once you agree. We may improve or change how the system works over time, as long as we do not take away anything in the list above.
What we do not provide. Paid advertising, video or content production, and social media posting are not part of this plan.
3. Getting started
We aim to have you live within 5 working days of receiving your completed onboarding form and anything else we need from you (such as photos, your logo and your prices). If we are waiting on you, the clock waits too.
You are responsible for making sure the information you give us is accurate and up to date (prices, opening hours, areas, services), and for telling us when it changes. You confirm you have the right to give us any text, photos, logos and other material you send, and that using them will not infringe anyone else’s rights. Keep your login to yourself and tell us straight away if you think someone else has it.
4. Price and payment
The price is £247 a month. There is no build fee and no set-up fee. Your first payment is taken when we switch your system on, then on the same day each month, by card or Direct Debit through Stripe. We will send you a receipt for each payment.
VAT. We are not registered for VAT, so none is added. If that ever changes we will tell you at least 30 days beforehand, and you can leave before it takes effect.
Paying yearly. Paying yearly is optional. You pay ten times the monthly price up front for twelve months, so two months are free. A yearly payment is for the full twelve months and is not refunded if you choose to stop early, because the two free months depend on you staying. The only exceptions are in “Ending the agreement” below. After the twelve months, the service carries on month by month at the monthly price unless you tell us to stop.
Texts and calls. The texts and calls the system makes in the normal running of a local business are included. If your use is consistently far beyond what a business like yours would normally need, we will talk to you first. We will never charge anything extra without your agreement beforehand.
Late payment. If a payment fails we will let you know and try again. If it is still unpaid 14 days after it was due, we may pause your website, assistant and texts until you are up to date. We are entitled to interest and compensation on late commercial payments under the Late Payment of Commercial Debts (Interest) Act 1998.
Price changes. We will only change the price by giving you at least 30 days’ written notice, and you can end the agreement before the new price starts.
5. Your phone number, calls and texts
You keep your own business number. To text callers back when you miss a call, you divert unanswered calls to a number we give you, and we show you how. Your own number never becomes ours. The number we give you stays with us and is released when the agreement ends, and we will tell you how to switch the diversion off.
The system only sends texts to people who have contacted your business, who are your customers, or who have just asked for a quote or booking. Every text carries a way to stop (reply STOP) and we respect it automatically. You must not use the system for sales or marketing messages to people who have not agreed to hear from you, or for anything unlawful, harassing or misleading. You are responsible for what the automatic messages say about your business, and for having a lawful reason to contact your own customers.
When a call goes to voicemail, the caller is told it is recorded. We keep the recording and a typed copy for 90 days, then delete them.
6. The website assistant
The assistant always tells people it is an assistant, not a person. It answers using the information you give us, so please check it when we set it up and tell us about anything wrong or out of date. It can make mistakes, and it is not a substitute for professional advice. If it cannot answer, it hands the conversation to you. Bookings it takes appear in your diary, so please check your diary and honour or rearrange them as you would any booking.
7. Google reviews
Reviews are only worth having if they are honest, and UK law protects that. So, for as long as you use the system:
- You ask every customer for a review in the same way, whether or not you think they were happy. You do not filter out unhappy customers.
- You do not give discounts, gifts or other rewards in return for reviews.
- No one writes reviews for you or on behalf of customers, and we will never do that either.
Reviews belong on your Google profile and are controlled by Google and your customers. We cannot guarantee how many reviews you get, what they say, or your star rating. We may pause the review features if these rules are broken.
8. Search results and enquiries
We do our work carefully, but nobody can honestly promise a number of enquiries, a Google ranking or a review count. Search results and reviews build over time and depend on things outside our control, such as Google’s decisions and your competitors. The system makes sure every call, message and website enquiry gets a fast answer and every customer gets asked for a review; it does not guarantee more work.
9. Your website, your domain and your material
What is yours. You keep ownership of everything you give us or that is about your business: your name and brand, logo, photos, text you supply, your customer details, your Google Business Profile and your Google reviews. You give us permission to use them to build and run your service. Unless you tell us not to, we may also mention you as a customer and show your website as an example of our work.
What is ours. The website design and code, the templates, and the software behind the assistant, texts, bookings and reviews are ours (or our suppliers’). While you are with us you can use them for your business. They are a licence, not a sale, and the licence ends when the agreement does.
Your domain. Your domain name is registered in your name, or stays in your name if you already own it. We connect it to your website and look after it for you, including the yearly registration fee, while you are with us. You can ask for your domain details and transfer code at any time.
10. Ending the agreement
There is no minimum term. You can leave at any time by giving us 30 days’ notice by WhatsApp, text or email. We can also end the agreement by giving you 30 days’ notice. Either of us can end it straight away in writing if the other seriously breaks the agreement and does not put it right within 14 days of being told, becomes insolvent, or (in our case) if you use the system in a way that is unlawful or breaks the review or messaging rules above.
Paying yearly. If you paid yearly and decide to leave, you can still end the service after your 30 days’ notice, but the months you have already paid for are not refunded. The exceptions: we will refund the unused months, worked out day by day, if we end the agreement for any reason other than you breaking it, if we seriously fail to provide the service and cannot put it right within 14 days of being told, or if we stop trading.
When it ends:
- Your website is taken down and the system is switched off at the end of your notice period. You pay up to that date and nothing after.
- You keep your domain. It stays in your name, and we give you what you need to point it somewhere else.
- The website design and code stay with us and are not handed over. On request we will send you a copy of the text, photos and logo you supplied.
- Your data comes with you. Within 14 days of the end date we send you an export of your customer data (see the Data Processing Terms), then delete it from our systems within 30 days after we send it. If you would rather we deleted it sooner, tell us.
- We remove our access to your Google Business Profile, and the number we gave you is released. Your Google reviews stay on your profile.
Rules that are meant to carry on after the agreement ends (for example about money owed, confidentiality and liability) do.
11. Looking after personal data
For the details of your customers that go through the system, you decide why and how they are used and we handle them for you. That is set out in our Data Processing Terms. For information about you and your staff, see our Privacy Policy.
Who can see your data. You can see everything in your account. We can access it too, but only so we can run the service, give you support and keep it secure. Our routine reporting uses counts only (for example how many enquiries came in). We do not read your customers’ messages unless we need to in order to fix a problem or help you at your request, to protect someone from harm, or because the law requires it.
12. Support and availability
We will provide the service with reasonable skill and care. Support is by WhatsApp seven days a week, and we aim to make website changes within 48 hours of your request. These are targets we work hard to meet, not guarantees.
We cannot promise the service will never be interrupted. We rely on other companies (phone networks, Cloudflare, Twilio, Google, Anthropic and others), and from time to time we need to carry out maintenance. If something stops working, we will tell you and fix it as quickly as we can.
13. Our responsibility to you
Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow to be limited.
Subject to that: we are not liable for loss of profit, revenue, business, customers or goodwill, or for indirect or knock-on losses, and our total liability to you for everything arising from the agreement in any 12-month period is limited to the fees you paid us in that period. We are not responsible for failures caused by things outside our reasonable control, by information you gave us being wrong, or by you breaking the agreement or the law.
If a regulator or third party brings a claim against us because you broke the messaging, review or data rules in this agreement, you will cover our reasonable costs of dealing with it.
14. Confidentiality
Each of us will keep the other’s non-public business information confidential and only use it for this agreement, unless the law requires it to be shared.
15. Changes to these terms
We may update these terms. We will give you at least 30 days’ notice of any change that matters, and the date at the top of the page will show which version is current. If you do not agree, you can end the agreement before the change starts without paying anything extra.
16. The legal small print
- Whole agreement. This is everything we have agreed. It replaces anything said or written before, but does not cancel anything either of us said fraudulently.
- Transfer. You cannot transfer the agreement to someone else without our written consent. We can transfer it to another company, for example if our business is sold or reorganised, as long as your service carries on.
- If part is unenforceable, the rest still applies. If we do not enforce a right straight away, we have not given it up.
- Outside our control. Neither of us is in breach if we cannot do something because of events beyond our reasonable control.
- Third parties. Only you and we can enforce the agreement. No one else has rights under the Contracts (Rights of Third Parties) Act 1999.
- Notices. We can contact you by WhatsApp, text, email or in the app, using the details you gave us. You can contact us at magiluxmedia@gmail.com or on WhatsApp 07438 771105.
- Complaints. Please tell us first and we will reply within 5 working days and do our best to put it right.
- Law. The agreement is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
